1. Scope & Acceptance§
These Terms govern your access to and use of Omnyra's products, websites, and services (the "Service"). By creating an account, connecting an integration, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization and "you" refers to the organization.
2. Definitions§
"Customer Data" means information you submit to the Service, including accounting data ingested via integrations. "Output" means results generated by the Service (e.g., KPIs, insights, alerts, audit entries). "Validator" refers to mechanisms that evaluate model-generated content against minimum validation factors (MVF). "Blocked State" means Output withheld because it does not meet the configured threshold.
3. Eligibility & Accounts§
You must be legally capable of entering into contracts, provide accurate registration information, and maintain the security of your credentials. You are responsible for activities under your account.
4. Subscriptions & Billing§
Access may be offered on a paid subscription. Prices, features, and limits are described on /pricing. Fees are non-refundable except as required by law. We may suspend the Service for unpaid invoices.
5. Acceptable Use§
- No unlawful, infringing, or abusive content or behavior.
- No interference with the Service, circumvention of security, or rate limits.
- No reverse engineering of proprietary components, except as permitted by law.
6. Integrations (QuickBooks)§
You may connect third-party services such as QuickBooks Online to import data. You authorize Omnyra AI Inc to access and process data received from such services in accordance with these Terms and our Privacy Policy. Integrations may be modified or discontinued. You can manage connections at /integrations.
7. Intellectual Property§
Omnyra AI Inc retains all rights, title, and interest in and to the Service. As between the parties, you own Customer Data. Subject to these Terms, you grant Omnyra AI Inc a limited license to host and process Customer Data to provide and improve the Service.
8. Confidentiality & Security§
Each party will protect the other's confidential information using reasonable measures. We implement administrative, technical, and physical safeguards as described on /security.
9. Privacy§
Our collection and use of personal information is described in our Privacy Policy.
10. SMS/Text Messaging Terms§
By providing your mobile phone number and consenting to receive SMS/text messages from Omnyra AI Inc or our affiliates (including Command Advisors), you agree to the following:
- Program Description. You may receive SMS messages related to CFO advisory services, financial intelligence, business insights, appointment reminders, and follow-up communications.
- Message Frequency. Message frequency varies based on your interactions. Typically 1-5 messages per conversation thread.
- Costs. Message and data rates may apply. Check with your mobile carrier for details.
- Opt-Out. Reply STOP to any message to unsubscribe. You will receive a confirmation message and no further texts unless you re-subscribe. Reply START to re-subscribe.
- Help. Reply HELP for assistance or contact us at support@omnyra.ai.
- Consent Not Required for Purchase. Consent to receive SMS messages is not a condition of purchasing any goods or services.
- Supported Carriers. Supported carriers include AT&T, T-Mobile, Verizon, Sprint, and most major US carriers. Carriers are not liable for delayed or undelivered messages.

11. Disclaimers§
The Service and Output are provided "as is". We do not guarantee that any Output is free from error or suitable for a particular use. Decisions should be made using professional judgment and independent verification of underlying records.
12. AI-Generated Content§
Output such as insights, recommendations, and alerts are generated using artificial intelligence and machine learning models (including third-party large language models). AI-generated content:
- May contain inaccuracies, omissions, or errors despite validation mechanisms
- Reflects patterns in training data and your Customer Data, not professional advice
- Should be independently verified against source financial records before business decisions
- May evolve as models are updated or replaced
You acknowledge that AI systems can produce unexpected results and agree to use Output as a decision-support tool, not a substitute for professional accounting, financial, or legal advice.
13. Limitation of Liability§
To the maximum extent permitted by law, Omnyra AI Inc will not be liable for indirect, incidental, special, or consequential damages. Our aggregate liability arising out of or related to the Service will not exceed the amounts paid by you for the twelve (12) months preceding the event giving rise to liability.
14. Indemnification§
You will indemnify and hold Omnyra AI Inc harmless from claims arising from your use of the Service in violation of these Terms or applicable law.
15. Termination§
Either party may terminate for material breach if not cured within 30 days of notice. We may terminate or suspend the Service immediately to address security risks or unlawful conduct.
16. Disconnect Effects§
If you disconnect QuickBooks at /integrations:
- New data will stop syncing; tokens/refresh tokens will be revoked.
- Existing imported data may remain in your workspace until you delete it or your retention period lapses.
- KPIs/insights/alerts may become stale or limited; certain features may be unavailable.
- Audit trail entries already created remain intact for recordkeeping.
- You may reconnect at any time by re-authorizing the integration.
17. Changes to the Service or Terms§
We may update the Service and these Terms. Material changes will be communicated via the Service or email. Continued use after the effective date constitutes acceptance.
18. Governing Law & Venue§
These Terms are governed by the laws of the State of Delaware, excluding conflicts of law rules. The exclusive venue for disputes is state or federal courts located in Delaware.
